Terms of Service
The agreement between you and Rebel Audio for using the platform to create, edit and publish your shows.
Published · Version 2026-10-20-v2 · No longer in force
This is an earlier version of the Terms, kept so you can see exactly what was accepted. It no longer applies. Read the current Terms, or see every earlier version.
These Terms of Service ("Terms") are a contract between you and Rebel Audio, Inc. ("Rebel Audio", "we", "us") for the Rebel Audio website, web app, public show, episode and clip pages, embeddable player, RSS feeds, show email addresses and every feature they offer (together, the "Service"). You accept these Terms when you tick the box, or press the button, that accepts them in the app or on one of our sign-up forms. If you use the Service without an account (for example to visit a public page), sections 4, 11, 12, 16, 17 and 20 apply to that use. If you use the Service for a company or other organisation, you confirm that you are allowed to bind it, and "you" means that organisation too.
In short: you own your content and we do not train AI on it; AI outputs are drafts you are responsible for checking; paid plans renew until you cancel, which you can do yourself at any time; and disputes are resolved by individual arbitration unless you opt out within 30 days (section 19). The Privacy Policy explains what we do with personal data and is part of these Terms.
Clarified in version 2026-10-20-v2: section 11 now names our copyright agent, Randeep Bhatia, and gives a phone number, and section 7 says that we charge only in US dollars. Nothing you agreed to has changed, so we do not ask you to accept these Terms again.
What changed on 20 October 2026:
- You accept these Terms only in the app (or on one of our sign-up forms), by ticking the box or pressing the button that accepts them. The arbitration agreement and the class-action waiver are now named right there too (section 19).
- Section 5: the licence now covers delivering your show to Spotify and Apple under our own accounts and, for shows monetized through us, Spotify's ads. It no longer says we may use your content to improve the Service. Music made by Vibe Scoring is licensed to you, not owned by you.
- Section 6: we say exactly what our AI providers may keep. ElevenLabs may keep a copy for a limited time under its terms, and never uses your audio to train its AI. Guest bios can be wrong about real people, so check them.
- Section 7: consumers in the EEA, the UK and Switzerland can withdraw from a purchase within 14 days. A card dispute is no longer called a breach. Price changes come with at least 14 days' notice by email.
- Section 8: what we owe you from Spotify is our debt to you. We say how your 90% is worked out, how to turn Spotify ads off for a show, and how to claim a month that Spotify finalised after your show left.
- Section 11 names our copyright agent and explains counter-notices. Section 13 says how to appeal when we remove content or restrict an account.
- Sections 17 to 19: the limits on liability do not apply to what we owe you, the indemnity is narrower, and the arbitration section now says who pays the fees, what happens with mass filings and how you can reject a later change to it.
- Earlier versions of these Terms are now published.
The Privacy Policy, the Cookie Policy and the list of companies that handle data for us changed on the same day. Among other things: Google's sign-in prompt now loads only on our sign-in pages, and one address, engineering@rebelaudio.ai, now answers every question.
1. Who can use Rebel Audio
You must be at least 18 years old to have an account, and by accepting these Terms you confirm that you are. If you tell us you are under 18, your account is blocked and you can delete it; if we learn in any other way that an account belongs to someone under 18, we close it and delete its data. You may not use the Service if you are barred from doing so under the laws of your country or if we have previously closed your account for breaking these Terms.
2. What the Service does
Rebel Audio is a platform for making, hosting and distributing podcasts in audio and video. As of this version it includes:
- Getting content in: recording in the browser, uploading files, importing from a pasted link, from Dropbox or from Google Drive, and moving an existing show over from its RSS feed.
- Editing and processing: transcription with word-level timing and speaker labels, editing by editing the transcript, removing filler words and silences, hiding swear words, making the volume even, and making the final file of the episode.
- AI drafts: suggested titles, descriptions, show notes, cover images, episode ideas, and posts made from an episode (a blog post, a newsletter, text for YouTube and social posts), with a quality check of the written pieces.
- Other AI tools: an episode coach that scores a draft episode and suggests changes; listener kits (a short quiz and key points for a published episode, which you can show on its public page); course outlines made from several episodes of one show; and guest prep, which writes a short bio, talking points and interview questions from a guest's name and the notes and links you give it (section 6).
- Ask Rebel: an assistant that answers questions about your shows and the product and can remember facts and preferences from your chats (section 6).
- Clips: Clip Lab, which suggests and renders short clips, with public clip pages, embeds and share links.
- Dubbing: a version of an episode in another language, spoken by AI voices (section 6).
- Vibe Scoring: instrumental music generated for your episode and mixed under it (section 6). It is not on every account yet.
- Publishing: an RSS feed hosted by us, public show and episode pages, publishing to YouTube (your own channel), and listing your show on Spotify and Apple Podcasts (section 8). Other podcast apps, such as Amazon Music, play your show from its RSS feed once you submit the feed to them yourself; the app shows you how.
- Running a show: a Rebel-issued show email address with forwarding, team members with roles, analytics (downloads, listeners, and statistics from Spotify and YouTube where you connect them), and the people credited on your show.
- Spotify monetization: ads on eligible shows we distribute to Spotify, with 90% of what Spotify pays us for your show owed to you (section 8).
- Telling us what you think: short onboarding questions and optional in-product surveys (section 10).
Automated outputs are drafts. Speech recognition, translation, synthetic speech, generated music and language models make mistakes and can produce output that is wrong, incomplete, biased or unsuitable. Nothing is published until you choose to publish it, and you are responsible for reviewing every transcript, translation, dub, clip, draft and image before you use it.
We may add, change or remove features. Where a change materially reduces something you pay for, we give reasonable notice (section 15). Some features are offered as previews or on particular plans only, and the pricing page says which.
3. Your account and your team
Give us accurate information when you sign up and keep it current. You are responsible for everything that happens under your account and for keeping your sign-in method secure. Tell us at engineering@rebelaudio.ai straight away if you think your account has been used without your permission. Credentials may not be shared, and an account may not be transferred without our written agreement.
Workspaces and roles. Every account has a personal workspace, and you can invite other people to a workspace as team members with a role (owner, admin, editor or viewer). An owner or admin is responsible for whom they invite, for what those members do in the workspace and for removing them when they should no longer have access. Members act for the workspace, so anything a member publishes, connects or buys counts as done by the workspace. How many team members a workspace can have depends on the plan, and the owner counts as one of them. On the Free plan the workspace is its owner alone. On the Creator plan the owner can add an editor. The admin and viewer roles come with the Studio and Network plans.
4. Acceptable use
You must not use the Service to:
- break any law or regulation, or help anyone else do so;
- upload, generate or publish content that is defamatory, that harasses, threatens or incites violence or hatred against people, or that infringes anyone's copyright, trademark, privacy, publicity or other rights;
- create, upload, generate, edit or share sexual, nude or intimate images, video or audio of a real person without that person's explicit consent, including content made or altered with AI (sometimes called "deepfakes") — that is, non-consensual intimate imagery;
- create, upload, generate or share any sexual content involving a minor, or anything that sexualises a minor, whether real, drawn or AI-generated;
- use the Service's AI tools, including cover art, to create sexual, nude or intimate imagery of anyone, or try to get around the safeguards that stop them doing so.
- impersonate anyone, misrepresent who made a recording, or create or publish synthetic audio that imitates a real person without that person's explicit consent;
- send spam or unsolicited bulk messages, including from a show email address, or use the Service to deceive people;
- upload malware, probe, scan or overload our systems, bypass usage limits or plan gates, or access another account's data;
- use bots, scrapers or other automated means to access the Service or extract data from it, except through features we provide for that (such as your own RSS feed and exports);
- resell or sublicense the Service, or use it to build or train a competing product or an AI model;
- reverse-engineer the Service except where the law gives you that right regardless of these Terms.
Sexual and intimate imagery. Rebel Audio's AI tools are built not to create sexual, nude or intimate images. When we find content that breaks the rules above, we remove it, and we may suspend or permanently close the account responsible without notice. Non-consensual intimate imagery and any sexual content involving a minor are removed as soon as we find them and lead to permanent termination; we report child sexual abuse material to the National Center for Missing & Exploited Children and cooperate with law enforcement as the law requires. To report content like this, email engineering@rebelaudio.ai.
When we find content or behaviour that breaks these rules we may remove the content, limit features, or suspend or close the account, and we may report it to the authorities where the law requires or allows. Where we can, we tell you what we did and why. To report a problem, email engineering@rebelaudio.ai.
5. Your content
You own it. As between you and Rebel Audio, you own the audio, video, artwork, text, metadata and other material you upload, import, record or create in the Service, and everything the Service produces from it at your request — transcripts, edits, rendered episodes, dubs, clips and drafts, subject to section 6 ("Your Content"). Music generated by Vibe Scoring is licensed to you, not owned by you, as section 6 describes. We claim no ownership of Your Content.
The licence we need to run the Service. You grant Rebel Audio a worldwide, non-exclusive, royalty-free licence to host, store, copy, transcode, process, transcribe, translate, analyse, display, perform and transmit Your Content, and to create the derived outputs you ask for, for the purposes of operating, securing and supporting the Service and fixing problems with it (which never includes training or improving a machine-learning model) and delivering Your Content to the destinations you choose — your feed, your public pages and the platforms and people you share it with. This licence includes the right to sublicense these rights to our service providers and to the platforms we deliver Your Content to for you, including platforms where we list your show under our own account (section 8), on the terms those platforms require; to make technical changes needed for delivery (such as transcoding, loudness and format changes); and, for shows monetized through us under section 8, to place and let the platform insert advertising at ad breaks and to receive the platform's payments for it. Where you make a show, episode or clip public, the licence includes showing its title, artwork and public page in Rebel Audio's own product (for example, a directory of shows hosted on Rebel Audio) and describing it as hosted on Rebel Audio; email engineering@rebelaudio.ai if you would rather we did not. This licence ends when you delete the content or your account, except for copies in encrypted backups, which expire within 35 days, copies already delivered to other platforms or people, and copies we must keep by law.
No AI training. We do not use Your Content to train or improve our own or anyone else's machine-learning models, and the AI providers we use process it under terms that do not allow them to use it to train their AI either (section 6 and the Privacy Policy).
Your responsibilities. For everything you upload, generate or publish through the Service, you confirm that:
- you own it or hold every licence and permission needed to use it as you do, including for any music, sound recording, image or text it contains, and that no royalty or fee is payable by Rebel Audio for it;
- everyone whose voice, likeness or personal details appear in it — guests, co-hosts, the people you credit on your show (hosts, guests and crew) — knows and has agreed to being recorded, credited, published, transcribed and, where you dub, re-voiced in another language;
- it complies with the law and with the rules of every platform you publish it to;
- it does not break section 4.
Copyright complaints. We respond to copyright notices as described in section 11, and we close the accounts of repeat infringers.
6. AI features, dubbing and generated music
How AI features work. Transcription, dubbing and music generation use ElevenLabs. Drafts, summaries, clip suggestions, Ask Rebel and cover art use AI models on Amazon Bedrock, the AI service that Amazon Web Services runs for us. When Bedrock cannot answer a text request, we send the request to OpenRouter instead: a company that passes it to an AI model from Anthropic or OpenAI. We tell OpenRouter to send the request only to model providers that do not keep it or use it to train AI. Your media and text are sent to these providers only to produce the output you asked for, under terms that do not allow them to use it to train their AI. Amazon Bedrock does not keep what we send it. ElevenLabs may keep a copy for a limited time under its terms; for dubs, we ask it to delete the project as soon as the dub is ready. AI output may not be unique — similar inputs can produce similar results for other people — and the extent to which AI output is protected by copyright varies by country. We make no claim to AI output produced for you, and we give no assurance that you can protect it as your own.
Dubbing. When you dub an episode, the speech in it is translated into the target language and read by ready-made AI voices from our dubbing provider's library. We do not copy or clone your voice or the voice of anyone in the episode, and we keep no likeness of any voice. You start each dub yourself and confirm it (and its price) before it runs, and by confirming you confirm that the people who speak in the episode have agreed to their words being translated and published this way. Once the dub is ready, we ask the provider to delete its copy of the project. Dubbing cannot be used to make a real person seem to say something they did not say. Each dubbed language has its own feed. We label dubbed episodes as AI-generated in their feed and, on YouTube, in YouTube's own disclosure field. You must not remove those labels, and you must add any further disclosure the law or a platform requires where you publish a dub. If we ever offer dubbing in a speaker's own voice, we will ask each speaker for separate, explicit consent first.
Vibe Scoring (generated music). Vibe Scoring composes instrumental music for your episode — music for the start and the end, short pieces between parts, and quiet music under the talking — with ElevenLabs' music model, and mixes it under your voice when the final file of the episode is made. You may use the music generated for an episode in that episode, in clips and other content derived from it, and in distributing and promoting that episode anywhere, as permitted by ElevenLabs' terms for generated music. You may not sell, license or distribute the generated music on its own, release it as a musical work (for example on music services), register it with a collecting society, a rights organisation or a content-identification system as your composition, or use it to train an AI model. Generated music is instrumental and may resemble music generated for other people; we give no assurance that it is unique or that you can claim exclusive rights in it.
Cover art and other generated images. Our image tools are built not to create sexual, nude or intimate imagery (section 4). You are responsible for checking that generated artwork does not depict a real person, a trademark or a copyrighted work in a way you are not entitled to use.
Guest prep and other AI tools. What you enter about a guest is your responsibility: use only information you are allowed to use, and check the bio, talking points and questions before you use them. Guest prep writes from what you give it and the model's general knowledge, which can be out of date or wrong about real people. Do not publish a bio or claim about a person without checking it. We do not open the links you give guest prep; the AI sees only the text of the link. Coach scores, listener kits and course outlines are drafts like any other AI output.
Ask Rebel. Answers from the assistant are generated and can be wrong. They are not legal, financial or professional advice, and they do not change these Terms or the pricing page. Ask Rebel can remember facts, preferences and decisions that you state in your own messages to it, never what it reads about your shows or what is said in your episodes; you can switch this off and delete what it remembers in Settings › Rebel AI. The Privacy Policy says what is kept and for how long.
7. Plans, add-ons and payment
Plans. Rebel Audio offers a Free plan and the paid Creator, Studio and Network plans. Each plan includes a number of hours per billing period (recorded, uploaded or imported) and other limits — shows, team members, downloads and features — set out on the pricing page and in Settings › Billing. When you reach a limit, the app tells you and offers the add-on or plan that gives you more; going over your download allowance never stops listeners.
Add-ons. Three add-ons are on sale:
- Extra hours, which you pay for once. The hours count for the billing period you buy them in.
- Extra show, a monthly add-on on the Creator plan and above. It renews with your plan until you remove it.
- Dubbing, by the minute, on paid plans. Dubbing is metered: each dub is priced before you confirm it, charged for every started minute of the episode's final file (its exact length) per language on top of your plan, and added to your next invoice. A monthly dubbing spending limit stops a dub that would pass it. Every account starts with a limit of $50, and the account's owner or an admin can change it in Billing.
Current prices are on the pricing page and shown before every purchase; we may change them with notice as described below.
Payment. Payments are processed by Stripe under its own terms; we never see your full card number. Prices are in US dollars and exclude taxes, which we add where the law requires. We charge only in US dollars, wherever you are; if your card is in another currency, your bank or card issuer may convert the amount and charge you for doing so. By starting a paid plan you authorise us, through Stripe, to charge your payment method the plan price at the start of each billing period, and the price of each add-on when you buy it or, for metered dubbing, at the end of the period.
Renewal, cancelling and changing plans. Paid plans renew automatically at the end of each billing period until you cancel. The checkout page says the price and that the plan renews every month, and asks you to agree to it before you pay; when a paid plan starts, we email you its price, how it renews and how to cancel. You can cancel at any time from Settings › Billing › Manage billing (Stripe's billing portal); cancellation takes effect at the end of the current period and you keep the plan until then. Moving to a cheaper plan is scheduled for the end of the period; moving to a more expensive one takes effect at once. When a plan ends or shrinks, anything above the new limits (for example extra shows or team members) stops being available until you remove it or move up again.
Refunds. Except where the law says otherwise, fees are non-refundable and there are no refunds or credits for partly used periods, unused hours or downloads, or features you did not use. If we end your paid plan other than for your breach, we refund the unused part of what you prepaid.
Withdrawal in the EEA, the UK and Switzerland. If you are a consumer in the EEA, the UK or Switzerland, you may withdraw from a paid plan or add-on within 14 days of buying it by telling us at engineering@rebelaudio.ai. If you asked us to start the service during those 14 days, we refund what you paid minus a proportionate amount for the service already provided.
Failed payments and disputed charges. If a charge fails we tell you and retry; while it is unpaid we may limit paid features (dubbing, for example, is paused) and, after reasonable notice, move the account to the Free plan. If you think a charge is wrong, please contact us first; we can usually fix it faster than a card dispute. While a payment dispute is open we may pause paid features on the account.
Price changes. We may change prices and plan limits. We give you at least 14 days' notice (and no more than 30 days before the change), by email, before a change applies to you, and the new price applies from your next renewal. If you do not agree, cancel before it takes effect.
Free plan. The Free plan is provided as is and may be limited in features, hours, downloads or the number of shows. We will tell you by email at least 30 days before we stop offering the Free plan or make its limits smaller. This does not stop us from limiting a particular account for abuse or a breach of these Terms, or from making a change the law or a security issue requires; in that case we tell you as soon as we can.
8. Publishing and connected platforms
Your feed and public pages. We host your RSS feed and public show, episode and clip pages and serve your media to listeners. Podcast apps read your feed under their own terms.
Platforms you connect. When you connect YouTube, Spotify or another platform, you authorise us to publish on your behalf under that platform's terms and to store the access token needed to do so, and you confirm that you may grant that access. We never ask for a platform password. You can disconnect at any time in Settings › Connections, which deletes the token. We are not responsible for a platform rejecting, removing or changing your content or turning off its ads, and if a platform ends our access the features that depend on it stop. Where these Terms and a platform's terms conflict about your use of that platform, the platform's terms govern there.
YouTube. The Service uses YouTube API Services. By connecting a YouTube channel or publishing to YouTube through Rebel Audio you agree to the YouTube Terms of Service. What we access and store is described in the Privacy Policy's Google user data section.
Apple Podcasts. Rebel Audio may submit your show's feed to Apple Podcasts from its own account. You keep all rights in your show and its content, and you can move the listing to your own Apple Podcasts account. Ask us at engineering@rebelaudio.ai and we will release the listing to you.
Spotify monetization. Shows that Rebel Audio distributes to Spotify are listed under Rebel Audio's own Spotify distribution account, and Rebel Audio takes part in the Spotify Partner Program for them. For every eligible show we distribute there, we turn on Spotify ads for the show and place ad breaks in its episodes, which you can review and move in the app. Spotify inserts ads at those breaks and may also pay for Premium video plays. Spotify decides which shows are eligible (today: at least three episodes on Spotify, an ad break in each monetizable episode, and passing Spotify's brand-safety review), which ads run and how much is earned. Spotify pays these earnings to Rebel Audio, not to you.
Turning Spotify ads off. You can ask us to turn Spotify ads off for a show at any time by writing to engineering@rebelaudio.ai from the email on your account. We switch the show's monetization off and tell you when it is off; from then on the show earns nothing from Spotify ads.
Your share. We pay you 90% of the amount Spotify reports and pays to us for your show for a month, in US dollars, and keep 10%. We do not deduct our payment-processing costs from your share. If Spotify later reduces or reclaims an amount, we may deduct your share of that reduction from later payments. Once Spotify has finalised a month's earnings, which usually happens a few business days after the month ends, we record your share of that month in our earnings ledger, and you can see each month's share in the app. That amount is our debt to you, not money held in trust or in a separate account, and it does not earn interest. Amounts shown before a month is finalised are estimates and can change.
Payouts. To be paid you set up payouts in the app (Stripe's payout onboarding, including your tax information). Payout setup is not open on every account yet; we tell you in the app and by email when payouts open for your account, and we then ask you in the app to set them up. Once payouts are set up, we pay you through Stripe each month. The minimum payout is $10; a smaller amount is added to the next month until the total reaches $10. You are responsible for taxes on what we pay you. We may collect tax forms through Stripe and withhold or report amounts where the law requires; withheld amounts count as paid to you.
Rights claims. We may withhold your share of earnings attributable to an episode that is subject to a copyright notice or other rights claim until it is resolved, and we do not pay a share of earnings from content you did not have the right to publish.
Leaving Spotify or Rebel Audio. Because Rebel Audio holds the Spotify distribution relationship for these shows, you cannot set up or change Spotify monetization for them yourself (for example through Spotify for Creators). If you move an existing Spotify show to Rebel Audio, any monetization you had set up for it with Spotify ends, and the show has to qualify again under Rebel Audio. We may switch monetization off for a show, for example if Spotify asks us to or the show breaks these Terms. If you leave Rebel Audio, take your show off Spotify or delete the show, we pay you your share of every month that Spotify finalised while the show was monetized through us. For a month Spotify had not finalised by then, we pay your share of what Spotify later pays us for it if you write to engineering@rebelaudio.ai within 12 months.
Google Drive and Dropbox. When you import a file from Google Drive or Dropbox, you authorise us to read the files you pick and copy them into the Service as Your Content. Your use of those services stays under their terms; the Privacy Policy says what we access and how to disconnect.
9. Show email addresses
You can give a show a Rebel-issued email address on our shows domain, which forwards to the address you choose, so listeners and partners can reach the show without you publishing a personal address. The address belongs to Rebel Audio and is licensed to you while the show has it; it returns to us when you switch it off, delete the show or close your account, and we may reassign it after a reasonable interval. We process the mail only to forward it, filter abuse and show it in the show's inbox; you may not use the address to send spam or to impersonate anyone, and we may suspend an address that receives or sends abuse. Our feed names the address you choose as the show's contact; you are responsible for what you publish there.
10. Surveys, onboarding questions and feedback
We ask a few questions when you join (what you are here to do, how you heard about us, what kind of creator you are, your audience size) and, now and then, optional in-product surveys — how likely you are to recommend us, why you are cancelling, what you think of a feature. Answering is always optional and never affects your plan. We keep your answers with your account and use them to improve the product and to plan features; the structured parts (scores and choices, never your written comments) are also sent to our analytics provider as product events. Anything you tell us about the product — survey comments, suggestions, bug reports — is feedback we may use freely, without owing you anything and without naming you.
11. Copyright complaints
If you believe content on the Service infringes your copyright, send a notice to our designated agent: Randeep Bhatia, Copyright Agent, Rebel Audio, Inc., 1103 Tulloss Road, Franklin, TN 37067, United States; phone +1 310-948-9417; email engineering@rebelaudio.ai (subject "Copyright notice"). The notice must include: your physical or electronic signature; the work you say is infringed; the material you say infringes it and where it is (the show, episode or clip URL); your contact details; a statement that you believe in good faith the use is not authorised by the copyright owner, its agent or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for the owner. We remove or disable the material and tell the person who posted it.
Counter-notices. If your material was removed and you believe that was a mistake, you may send a counter-notice to the same agent under the Digital Millennium Copyright Act. A counter-notice must include your signature, the removed material and where it was, a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification, your name, address and phone, and your consent to the jurisdiction of the federal court for your district (or, outside the US, any district where we may be found). We restore the material 10 to 14 business days after a valid counter-notice unless the complainant tells us it has sued. We close the accounts of people who repeatedly infringe.
12. Our intellectual property
The Service — its software, design, text, trademarks and everything in it other than Your Content and third-party content — belongs to Rebel Audio and its licensors. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service as it is offered and as your plan allows; nothing else is granted. You may not copy, modify, resell or redistribute any part of the Service, remove its notices, or use its name or logos without our permission. Open-source components we ship to your browser are listed with their licences on the open-source notices page.
13. Ending your account
By you. You can delete your account at any time from Settings, and we ask you to confirm. Two things must be done first: every show you own must be deleted or moved out (the app lists them for you), and if you are the only admin of a workspace that has other members, you must make someone else an admin or remove the other members. Deletion is scheduled with a 7-day grace period during which you can change your mind; after that your account, content and personal data are erased on the schedule in the Privacy Policy. You can export your content before you delete. Deleting your account does not cancel amounts you already owe, and does not remove content you have already published to other platforms. If you would rather we delete the account and its shows for you, email engineering@rebelaudio.ai and we will, after confirming it is you. Deleting a show or your account does not cancel what we owe you. If we cannot pay you through payouts, we pay you another way you and we agree, or we hand the amount to the state as unclaimed property where the law requires.
By us. We may suspend or close your account if you materially breach these Terms, if a paid plan goes unpaid for a prolonged period, if the law requires it, or if your use of the Service creates a serious legal or security risk to us, to other users or to the public. We tell you why unless the law prevents it, and where the breach can be fixed we give you a chance to fix it first, except where the breach is serious (such as the content in section 4's imagery rules, fraud or a security attack). When we remove content or restrict an account, we tell you which rule we applied and how to ask us to look again: you can appeal by writing to engineering@rebelaudio.ai, and a person reviews the appeal.
What survives. Sections 5 (the parts about your responsibilities and the licence for copies described there), 6, 7 (amounts owed), 8 (amounts we owe you for months already earned), 12, 16, 17, 18, 19, 20 and 21 survive the end of these Terms.
14. Support and service levels
We provide support by email at engineering@rebelaudio.ai and, where available, through the Help Center in the app. We do not promise a particular uptime or response time, and nothing in these Terms is a service-level agreement unless we sign one with you separately.
15. Availability and changes to the Service
We work to keep the Service available but cannot promise it will be uninterrupted or error-free, and we may take it down for maintenance. We may add, change or remove features, limits and plans. Changes to the Free plan follow section 7. If a change materially reduces something you pay for, we give you reasonable notice — at least 14 days where practical — and you may cancel before it takes effect. Features labelled as previews, betas or experiments may change or be removed at any time.
16. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND EVERYTHING IT PRODUCES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WITHOUT ANY WARRANTY THAT A TRANSCRIPT, TRANSLATION, DUB, CLIP, GENERATED MUSIC, IMAGE OR OTHER AUTOMATED OUTPUT IS ACCURATE, COMPLETE, LAWFUL OR FIT FOR YOUR USE. WE DO NOT WARRANT THAT THE SERVICE WILL BE SECURE, UNINTERRUPTED OR FREE OF ERRORS OR LOSS OF DATA, AND YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN COPIES OF YOUR CONTENT. Some places do not allow some of these exclusions, so some may not apply to you. If you are a New Jersey resident, the exclusions and limits in this section apply to you only to the extent New Jersey law allows, and the limits on punitive damages, on liability for negligence and on recovering legal fees do not apply to you where New Jersey law forbids them.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, REBEL AUDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, AUDIENCE, DATA, CONTENT OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY LEGAL THEORY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED US DOLLARS (USD 100). These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, for fraud, or for wilful misconduct, and where the law does not allow a limit they apply to the extent it does. If you are a consumer in the EEA or the UK, nothing in these Terms limits the rights the law of your country gives you. These limits do not apply to amounts we owe you under section 8, to our obligations under section 7 to refund prepaid fees, or to our obligation to pay amounts finally awarded on claims we must indemnify. If you are a New Jersey resident, the exclusions and limits in this section apply to you only to the extent New Jersey law allows, and the limits on punitive damages, on liability for negligence and on recovering legal fees do not apply to you where New Jersey law forbids them.
18. Indemnity
You will defend, indemnify and hold harmless Rebel Audio and its officers, directors, employees and contractors from any claim, loss, liability and expense (including reasonable legal fees) arising from Your Content, your breach of these Terms or of the law, or any claim that a recording, credit, likeness, dub or synthetic voice was used without the consent it needed. We will tell you promptly about a claim, let you control its defence with counsel reasonably acceptable to us, and not settle it in a way that admits fault for you without your consent. This section does not cover a claim to the extent it is caused by our own breach or negligence. This section does not apply to a claim that output generated by the Service's AI features (including generated music and images), used as these Terms permit and without your changes or inputs causing the claim, infringes someone else's rights. This section does not apply to consumers where the law of their country does not allow it.
19. Disputes: arbitration, opt-out and exceptions
Talk to us first. Before starting any formal proceeding, send us a written notice of the dispute at engineering@rebelaudio.ai with the subject "Notice of dispute" (or by post to the address in section 21) with your name, the email on your account, what the dispute is about and what you want. We will do the same to you. If we have not resolved it within 60 days, either side may proceed as set out below. The time limits in this section and under the law are paused while this 60-day period runs.
Individual arbitration. Except for the exceptions below, you and Rebel Audio agree that any dispute or claim arising out of or relating to these Terms or the Service — including claims that arose before you accepted these Terms or after your account ends, and claims against our officers, employees, affiliates and successors — will be resolved by final and binding arbitration before a single arbitrator, not in court and not before a jury. The arbitration is administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you are an individual using the Service for personal purposes and otherwise under its Commercial Arbitration Rules, each as modified by these Terms. The arbitrator can award the same remedies a court could, on an individual basis. Hearings may take place by video, and where an in-person hearing is needed it takes place in the county where you live, or in New York, New York if you are outside the United States. The Federal Arbitration Act governs this section. Each side may disclose the arbitration and its result as needed to enforce an award, comply with the law or consult advisers. This section does not apply to a claim already filed in court or arbitration before you accepted the version of these Terms that first contained it.
Fees and mass filings. We pay all AAA filing, administration and arbitrator fees for a claim you bring as an individual consumer, except the part of the filing fee the AAA Consumer Rules assign to you. If 25 or more similar claims are filed by or with the help of the same lawyers or organisation, the AAA Mass Arbitration Supplementary Rules apply.
You can opt out. You may reject this arbitration agreement by emailing engineering@rebelaudio.ai with the subject "Arbitration opt-out" and the email on your account within 30 days of first accepting these Terms (or within 30 days of accepting a version that first contains this section). Opting out does not affect any other part of these Terms, and you keep the opt-out through later versions.
Changes to this section. If we change this section, you may reject the change by emailing engineering@rebelaudio.ai (subject "Arbitration change opt-out") within 30 days of the change taking effect; the earlier version then continues to apply to you. A change never applies to a dispute you told us about before it took effect.
No class actions. You and Rebel Audio agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, representative or private-attorney-general proceeding. If this sentence is found unenforceable for a particular claim, that claim is severed and heard in court under section 20 while the rest of the dispute is arbitrated. A claim for public injunctive relief under California law, to the extent the law does not allow it to be waived or arbitrated, is severed and heard in court under section 20 after the individual claims are arbitrated.
Exceptions. Either side may bring an individual claim in small-claims court if it qualifies, and may seek an injunction or other urgent relief in court to stop unauthorised use of the Service, infringement or misuse of intellectual property, or a breach of section 4. If you are a consumer in the European Economic Area, the United Kingdom or Switzerland, this section does not take away your right to bring a claim in the courts of the country where you live or to use the dispute-resolution bodies available to you there, and arbitration applies to you only if you choose it after a dispute arises.
Time limit. Any claim must be brought within two years of when it arose, or within the longer period the law requires where it cannot be shortened. For amounts we owe you under section 8, the time runs from the date we pay you or tell you in writing that we will not.
20. Governing law and courts
These Terms and any dispute relating to them or to the Service are governed by the laws of the State of New York and the federal law of the United States, without regard to conflict-of-law rules. Any claim that is not arbitrated (section 19) is heard exclusively by the state or federal courts in New York, New York, and you and we accept their jurisdiction — except that a consumer in the EEA, the UK or Switzerland keeps the protection of the mandatory laws of their country of residence and may bring a claim in its courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
21. General terms and contact
Changes to these Terms. Each version of these Terms carries a date and number (shown above). We may update them; when a change is material we give at least 14 days' notice where practical, by email or in the app, and we ask you to accept the new version the next time you sign in before you continue using the Service. Changes that only add a feature, fix an error or are required by law may take effect at once. A version is never edited after it is published. Earlier versions are listed in our archive of earlier Terms.
Notices. Notices to you go to the email address on your account; keep it current. Notices to us go to engineering@rebelaudio.ai (subject "Legal notice") or by post to Rebel Audio, Inc., 1103 Tulloss Road, Franklin, TN 37067, United States. You agree that we may give you notices, disclosures and these Terms electronically, and that they satisfy any requirement that they be in writing.
Everything else. These Terms, the Privacy Policy, the Cookie Policy and the pricing page are the whole agreement between you and Rebel Audio about the Service and replace any earlier agreement. If a part of these Terms is unenforceable, the rest stays in force. Not enforcing a term is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets, with notice to you. We are not liable for failure or delay caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, agency or employment relationship, and there are no third-party beneficiaries. The English text of these Terms governs.
