Affiliate Program Terms
The agreement between Rebel Audio and each affiliate we enrol: the 10% commission, which referrals count, disclosures and how it ends.
Last updated · Version 2026-10-23-v1
These Affiliate Program Terms (this "Agreement") are a contract between Rebel Audio, Inc. ("Rebel Audio", "we", "us") and the individual we have approved and enrolled as an affiliate ("you", "Affiliate"). Only enrolled affiliates accept this Agreement. You accept it by telling us, when you enrol, that you accept this version, or by accepting it when you sign up in our affiliate portal (section 18); we record your acceptance with the version, the date and how you gave it. This is version 2026-10-23-v1, effective .
Your use of Rebel Audio itself stays under our Terms of Service and Privacy Policy. People who use a referral link or an invite code without being an affiliate follow our Referral and invite rules, not this Agreement.
1. The Program and who runs it
The Affiliate Program (the "Program") is a referral and community programme run by Rebel Audio. Through it, approved affiliates introduce new users to Rebel Audio, our podcast platform (the "Platform"), and earn commission on qualifying paid plan subscriptions. The Program is offered to a small, hand-picked group. We may expand, limit or close it (section 15).
2. Who can be an affiliate
- You are at least 18 years old and able to enter into a binding contract.
- We have approved you for the Program. It is by invitation only.
- You are not a competitor of Rebel Audio, and you are not enrolling to refer your own accounts.
- You live in the United States and can give us a completed IRS Form W-9. The Program is for US-based affiliates only.
3. Enrolment, onboarding and your code
Once we approve you, someone from our team onboards you, may give you free access to the Platform, and gives you a unique invite code, a referral link or both, which we use to credit referrals to you. You are responsible for keeping your code and link secure and using them properly. Free access is given only to support your Program activities. It cannot be transferred, and it may end when you leave the Program.
4. Independent contractor
You take part as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint-venture or franchise relationship. You cannot bind Rebel Audio or make representations, warranties or commitments on its behalf. You are responsible for your own expenses, equipment and taxes.
5. What you agree to do
While you are an active affiliate, you agree to make good-faith efforts to:
- publish at least four (4) social media posts a month promoting Rebel Audio;
- introduce creators, podcasters and entrepreneurs to the Platform and support its community;
- give us product feedback and what you hear from the creator community;
- if you host a podcast, do one (1) Rebel Audio ad read in each episode you host where reasonably possible, or when we ask. A Rebel Audio ad read you are paid or rewarded for is paid promotion: tell listeners clearly that it is, as section 8 of our Terms of Service ("Paid promotion") requires. Do not place Rebel Audio ad reads in shows made for children;
- represent Rebel Audio professionally at events, meetups and community activities, following the brand guidelines we give you.
These are expectations for taking part. If you stop being meaningfully active, we may remove you from the Program under section 14, but that does not affect commission you have already earned.
6. Commission and payment
Rate. You earn ten percent (10%) of the net subscription revenue Rebel Audio actually receives from each Qualifying Referred Customer (section 7) for that customer's paid plan subscription, for up to six (6) months from the customer's first paid subscription, and only for the periods in which the customer stays an active paid subscriber.
What counts. Only paid plan subscriptions count: the Creator, Studio and Network plans. Add-ons and other purchases do not, including extra hours, extra shows and dubbing. When an add-on is billed on the same invoice as the referred customer's plan, our affiliate platform may count the whole invoice; commission paid on it that way is yours to keep.
Net subscription revenue means the amounts we actually receive for the plan subscription, after taking out taxes, discounts (including referral and promotional discounts), credits, refunds and chargebacks. We do not take out payment-processing fees.
When we pay. Commission is paid monthly through our affiliate platform provider (section 18). A commission becomes payable once it has passed the 60-day refund and chargeback hold. Around the fifteenth (15th) day of each month, the platform pays the commission that became payable in the month before, once your unpaid total is at least $50; a smaller total rolls forward to the next month. Payments are in US dollars, by PayPal or another method the platform offers, and the platform shows you what each payment covers.
Clawbacks and adjustments. If a referred customer cancels, lapses, is refunded or charges back, the matching commission does not accrue or is reversed, and we may deduct a reversed amount from later payments.
Commission only. The commission is your only reward for the people you bring. As an affiliate you do not also get the referral free month or Rebel Army rewards described in our Referral and invite rules for them. The people you bring keep what those rules offer them.
Tracking. Our affiliate platform provider tracks the people who come through your referral link. Our app records the people who claim your invite code, and our team adds them to the platform. The platform's records are the record of attribution and payment.
Nothing else. Except as this Agreement says, you are not entitled to any fees, equity or other compensation. We may change commission rates and structure for the future under section 15.
7. Which referrals count
Qualifying Referred Customer. A person who (a) was not already a Rebel Audio user when they used your code or link, (b) signs up through your referral link or claims your invite code, and (c) starts a paid plan subscription within 30 days of signing up through your link or claiming your code.
The first one wins. Each person can be credited to one referrer, once. A person can claim only one invite code, ever, and the first referral link they sign up through is the one that counts. If a person both claimed your invite code and signed up through a referral link (yours or someone else's), whichever came first gets the credit and the other gets none.
One credit per customer. Each customer is credited to one affiliate. Commissions are not split or stacked.
No self-referrals or fraud. You may not refer yourself or accounts you control, or use fake, bot or fraudulently incentivised sign-ups. If we suspect fraud, we may withhold or reverse commission and remove you from the Program.
8. Disclosures and endorsement rules
Because you are paid, you must clearly and conspicuously disclose your material connection to Rebel Audio in every promotion, as the US Federal Trade Commission's Endorsement Guides require. In particular, you agree to:
- include a clear disclosure (for example "#ad", "Rebel Audio partner" or "I earn a commission") where the endorsement appears, not hidden in a footer, a bio or behind a "more" link;
- place disclosures near the top of written content, in the opening seconds of a video or audio promotion (including an ad read), and prominently in social captions;
- make only truthful claims, and never misrepresent the Platform's features, pricing or results;
- say so when you use AI-generated voices, avatars or copy to promote Rebel Audio, in line with current FTC guidance;
- follow the paid-promotion rules of every platform you post on (for example TikTok, YouTube, Instagram and Spotify).
We may ask you to edit or remove content that does not comply, and we may withhold commission or remove you from the Program for repeated non-compliance.
9. Marketing conduct
- No spam. Email promotions must follow the CAN-SPAM Act (truthful headers, a valid postal address, a working unsubscribe), and text-message promotions must follow the Telephone Consumer Protection Act (prior consent). Only contact people you know.
- Do not bid on Rebel Audio trademarks or confusingly similar terms in paid search, and do not use misleading domains, usernames or metadata.
- Do not offer discounts, coupons, rebates or guarantees we have not authorised, and do not suggest that you speak for Rebel Audio.
- Follow the brand guidelines we give you and any reasonable instructions from us.
10. Brand licence and your content
Subject to this Agreement, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Rebel Audio name, logos and the marketing materials we approve, only to promote the Platform while you take part in the Program and following the brand guidelines we give you. All goodwill from that use belongs to Rebel Audio. You keep ownership of the content you create, and you give Rebel Audio a non-exclusive, royalty-free licence to share and repost your Program content on our channels, crediting you. All rights not expressly granted are reserved.
11. Confidentiality
You may receive information that is not public, such as unreleased features, roadmaps, metrics, pricing and Program details. Keep it confidential and use it only for the Program until it becomes public through no fault of yours.
12. Taxes
You are responsible for all taxes on your commission. To be paid, you must give us a completed IRS Form W-9. We issue a Form 1099-NEC where the law requires, and we may apply backup withholding if you have not given us a valid W-9 or where the law otherwise requires it.
13. Privacy and data
Referral tracking uses codes and links and involves processing personal information about the people you refer, as our Privacy Policy describes. We show you counts and states for your referrals, not who they are. You are an independent controller of any personal information you collect yourself in connection with the Program: handle it lawfully, only as the Program needs and in line with privacy law, and keep your own privacy notice where the law requires one. Do not build your own marketing lists from the people you refer. Our own collection and use of personal information is governed by our Privacy Policy, including its disclosures for California residents.
14. Term, ending and what happens to commission
This Agreement starts when you enrol and continues until it ends. Either of us may end it at any time, with or without cause, by written notice (email is enough). When it ends: (a) your licence under section 10 ends and you must stop promoting Rebel Audio as an affiliate; (b) commission you have already earned that is not subject to clawback stays payable on the normal schedule, subject to the minimum and the hold; and (c) sections 4, 6 (as to accrued amounts), 8, 11, 12, 16, 17, 19 and 20 continue to apply. We may suspend the Program or your part in it immediately for suspected fraud or a material breach.
15. Changes to the Program or this Agreement
We may change the Program, commission rates, attribution rules or this Agreement for the future by publishing a new version on this page, with a new version number and date, or by telling you. Changes never reduce commission you have already earned. If you keep taking part after a change takes effect, you accept it; if you do not agree, you may end this Agreement under section 14.
16. Disclaimers and limitation of liability
The Program and the Platform are provided "as is". To the fullest extent the law allows, Rebel Audio disclaims all implied warranties and is not liable for indirect, incidental, special or consequential damages, or for lost profits. Our total liability under this Agreement will not exceed the total commission paid to you in the six (6) months before the event that gave rise to the claim.
17. Indemnity
You will indemnify and hold harmless Rebel Audio and its officers, directors, shareholders and affiliated companies from claims, damages and expenses (including reasonable attorneys' fees) arising from your promotions, your breach of this Agreement, your breach of the law (including FTC rules, CAN-SPAM, the TCPA and privacy laws) or your misrepresentations.
18. Our affiliate platform
We run the Program on an affiliate platform provider, Tolt, Inc. ("Tolt"). To receive tracking and payouts you need a partner account in our affiliate portal and must accept Tolt's terms, including its terms for paying affiliates. Tolt acts as our service provider. This Agreement keeps governing the relationship between you and Rebel Audio, and if it conflicts with Tolt's terms about Program rules, this Agreement controls unless we say otherwise. Tolt is listed on our Subprocessors page. If we move to another provider, we will tell you and list it there first.
19. Disputes and governing law
Sections 19 ("Disputes: arbitration, opt-out and exceptions") and 20 ("Governing law and courts") of our Terms of Service apply to any dispute about this Agreement or the Program, as if their references to "these Terms" and "the Service" included this Agreement and the Program. That includes the written notice and 60 days to resolve it first, individual arbitration administered by the American Arbitration Association, the rules on fees and mass filings, the waiver of class and representative actions, the exceptions, and the right to opt out of arbitration by emailing support@rebelaudio.ai within 30 days of accepting this Agreement (if you have already opted out under the Terms, that opt-out covers this Agreement too). This Agreement is governed by the laws of the State of New York, and any claim that is not arbitrated is heard by the state or federal courts in New York, New York.
20. General
If any part of this Agreement is unenforceable, the rest stays in force. You may not assign this Agreement; we may assign it to an affiliated company or a successor. This Agreement, with our Terms of Service, our Privacy Policy and the brand guidelines we give you, is the whole agreement on this subject and replaces earlier discussions. Your use of the Platform stays subject to the Terms of Service; if this Agreement and the Terms of Service conflict on an affiliate matter, this Agreement controls.
